1. Introduction and acceptance

These Terms and Conditions ("Terms") govern access to and use of the Solace Cloud Mining platform at scloudmining.co.za (the "Service"), operated by Solace Cloud Mining ("we", "us", "our"), a business registered in the Republic of South Africa. By creating an account or using the Service, you ("you", "the customer") accept these Terms in full. If you do not agree, do not use the Service.

2. What the Service is — and is not

The Service allows you to lease a fraction of the computational (hash rate) output of Bitcoin mining hardware that we own and operate, for a fixed term, in exchange for a once-off ZAR payment. You do not own, purchase, or take delivery of any physical hardware.

This is a technology service lease, not an investment product, a security, a collective investment scheme, or a savings product. Digital assets generated through this service are subject to significant price volatility. Hash rate output and resulting rewards are not guaranteed and depend on network conditions. T&Cs apply.

3. Eligibility and account registration

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. You are responsible for the accuracy of information you provide and for keeping your account credentials confidential. One account per person.

4. Identity verification (KYC)

Withdrawals are gated on identity verification. We use automated biometric verification and/or manual document review to confirm your identity, consistent with our Privacy Policy. We may decline, delay, or reverse a withdrawal pending successful verification, and may request additional information at any time for compliance purposes.

We comply with the Financial Intelligence Centre Act 38 of 2001 (FICA) and applicable anti-money-laundering and counter-terrorist-financing laws. Accounts and transactions may be subject to enhanced due diligence and ongoing monitoring, and we may decline, delay, or reverse a transaction, or freeze an account, where we reasonably believe the law requires it.

5. Contracts, fees, and pricing

Contracts are available for fixed terms of 6, 9, 12, 24, 36 months. Your hash rate allocation is calculated from your budget and selected term at the rate shown on the pricing calculator at the time of purchase, and is fixed for the life of the contract once paid.

  • Service fee: 15% of gross BTC earned, deducted before crediting your balance.
  • Hosting/electricity fee: R0.45 per TH/s per day, converted to BTC at the prevailing exchange rate and deducted from gross earnings.

A capacity reservation made through the calculator is held for 30 minutes pending payment. If payment is not completed within that window, the reservation expires and the capacity is released for other customers.

All amounts are stated and payable in South African Rand. The price shown at checkout is the full amount payable — no VAT is charged on the Service.

6. Payment

Payments are processed by a licensed South African payment service provider. We do not store your card or bank details. Your contract activates once the payment provider confirms successful payment.

Where a payment is disputed, we cooperate with the payment provider's dispute-resolution procedures and may share transaction information with the provider as reasonably required to resolve the dispute, consistent with our Privacy Policy.

7. Payouts are not guaranteed

Payouts are calculated daily from our mining pool's actual BTC receipts for the previous day, split across all active contracts in proportion to allocated hash rate, less fees. Payouts vary with network difficulty, pool luck, and Bitcoin's price, and are never fixed, promised, or guaranteed. Past performance shown anywhere on the Service, including the pricing calculator, is illustrative only and is not a projection or promise of future results.

8. Withdrawals

Withdrawals require an approved verification status and are subject to a minimum of 0.0005 BTC. Withdrawal requests are reviewed by our team before on-chain payment is sent; we may decline a withdrawal that fails compliance checks, in which case the amount is returned to your account balance.

9. Cancellation and refunds

An unpaid capacity reservation may be cancelled at any time before payment with no charge. After payment, an activated contract may be cancelled within the cooling-off period described in our Refunds & Cancellation Policy; once that period has passed, the hash rate allocation is committed for the contract term and is non-refundable, except where required by South African consumer protection law or at our sole discretion in exceptional circumstances. The Refunds & Cancellation Policy also sets out the refunds we initiate ourselves and how to request one.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses, including loss of anticipated earnings, arising from your use of the Service, network outages, hardware faults beyond our reasonable control, or Bitcoin price movements. Nothing in these Terms limits liability that cannot lawfully be excluded under South African law, including the Consumer Protection Act 68 of 2008 where it applies.

11. Prohibited use

You may not use the Service for money laundering, terrorist financing, fraud, or any unlawful purpose, or attempt to circumvent identity verification or capacity/security controls. We may suspend or terminate accounts suspected of violating this section and report to relevant authorities where required by law.

12. Termination

We may suspend or terminate your account for breach of these Terms, suspected fraud, or as required by law or our regulators. You may close your account at any time, subject to completion of any active contracts and outstanding compliance obligations.

13. Intellectual property

The Service, including its software, dashboard, branding, and content, is owned by or licensed to Solace Cloud Mining and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your own account during an active contract. You may not copy, reverse-engineer, resell, or create derivative works from the Service itself. This does not affect your ownership of the Bitcoin credited to your account.

14. Force majeure

Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including power outages, internet or telecommunications failures, natural disaster, civil unrest, government action, or a Bitcoin network event (such as a prolonged difficulty spike, chain reorganisation, or protocol fork) that materially disrupts mining output. This clause does not excuse the obligation to return funds already paid for a reservation that never activated.

15. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms, together with the Privacy Policy and your signed service agreement (if applicable), constitute the entire agreement between you and Solace Cloud Mining regarding the Service, superseding any prior discussions or representations.

16. Governing law, complaints, and disputes

These Terms are governed by the laws of the Republic of South Africa. Disputes are subject to the non-exclusive jurisdiction of the South African courts, without prejudice to any right to refer a matter to an applicable ombud or regulator.

Before pursuing formal action, please raise a complaint with us at legal@scloudmining.co.za — we aim to acknowledge complaints within 5 business days and resolve them within 20 business days. Where a complaint involves a payment transaction, we will cooperate with the payment provider's dispute procedures and provide the information reasonably required, without undue delay. 17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email or in-app notice before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
